By placing an order or engaging in business with KTG Sparkle, you agree to be bound by these Terms. Please read them carefully before proceeding with any transactions.

3. Ordering Process & Requirements
3.1 Quotation Request
Customers must provide detailed specifications including product type, quantity, dimensions, color requirements, and delivery timeline for accurate quotations.
3.2 Minimum Order Quantities (MOQ)
MOQ varies by product type and customization requirements. Standard MOQ will be specified in quotations. Custom designs may require higher minimum quantities.
3.3 Order Confirmation
Orders are confirmed upon receipt of signed quotation acceptance and required deposit payment. Production schedules will be provided upon order confirmation.
4. Payment Terms & Conditions
4.1 Payment Methods
We accept T/T (Telegraphic Transfer), L/C (Letter of Credit), and other mutually agreed payment methods suitable for international trade.
4.2 Payment Schedule
- Standard orders: 30% deposit, 70% before shipment
- Custom/OEM orders: 50% deposit, 50% before shipment
- Sample orders: 100% payment in advance
4.3 Currency
All prices are quoted in USD unless otherwise specified. Currency fluctuations may affect pricing for extended delivery periods.
5. Delivery & Shipping
5.1 Production Time
Standard production time ranges from 15-30 days depending on order complexity and quantity. Custom designs may require additional time for development and approval.
5.2 Shipping Terms
We offer FOB, CIF, and EXW terms. Shipping costs and responsibilities will be clearly defined in the commercial invoice and shipping documents.
5.3 Delivery Responsibility
KTG Sparkle is responsible for delivery according to agreed Incoterms. Delays due to force majeure, customs, or carrier issues are beyond our control.
6. Quality Assurance & Returns
6.1 Quality Standards
All products undergo strict quality control inspections before shipment. We maintain detailed quality records and can provide inspection reports upon request.
6.2 Defect Claims
Claims for defective products must be reported within 7 days of receipt with photographic evidence. We will investigate and provide appropriate remedies for verified quality issues.
6.3 Return Policy
Returns are accepted only for verified manufacturing defects. Custom-made products cannot be returned unless defective. Return shipping costs for non-defective items are the customer's responsibility.
7. Intellectual Property & Confidentiality
7.1 Design Ownership
Customer-provided designs remain the customer's intellectual property. KTG Sparkle's original designs and manufacturing processes remain our intellectual property.
7.2 Confidentiality
We maintain strict confidentiality regarding customer designs, specifications, and business information. Non-disclosure agreements are available upon request.
7.3 Third-Party Rights
Customers are responsible for ensuring their designs do not infringe third-party intellectual property rights. KTG Sparkle assumes no liability for IP infringement claims.
8. Limitation of Liability
KTG Sparkle's liability is limited to the value of the specific order in question. We are not liable for indirect, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or market losses.
Our responsibility is limited to manufacturing and delivering products according to agreed specifications. We do not assume liability for how products are used, marketed, or sold by customers.
9. Force Majeure
KTG Sparkle shall not be liable for delays or failure to perform obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, material shortages, or other force majeure events.
10. Governing Law & Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of the People's Republic of China and international trade conventions applicable to cross-border commerce.
10.2 Dispute Resolution
Disputes shall be resolved through friendly negotiation. If resolution cannot be achieved, disputes shall be submitted to arbitration in accordance with international arbitration rules.
